First, choose a structure
Almost everything downstream — what you register, what you file, how you are taxed — follows from this one decision. The four common choices:
A sole proprietorship or an unregistered partnership skips Step 1 entirely and starts at Step 2. Everything else goes through the Ministry of Corporate Affairs first.
Step 1 — Incorporate the company
Company incorporation is a central process, not a state one. There is no Telangana company registry — you incorporate with the Ministry of Corporate Affairs, and the company simply records a registered office address in Telangana.

Get a Digital Signature Certificate
Every proposed director needs a DSC to sign the filings. These are issued by licensed certifying authorities, not by the MCA itself.

Reserve the name — SPICe+ Part A
Submit your proposed names through Part A of the SPICe+ form on the MCA portal. If you are confident about the name, Part A and Part B can be filed together in one submission, which is the faster route.

Incorporate — SPICe+ Part B
The single integrated filing that does nearly everything at once: memorandum and articles of association, Director Identification Numbers, PAN and TAN, EPFO and ESIC registration, profession tax enrolment, optional GSTIN, and bank account opening through the linked AGILE-PRO-S form.
You receive a Certificate of Incorporation with a CIN once approved.

Step 2 — Tax & MSME registration
GST
Registration becomes mandatory once turnover crosses the prescribed threshold — broadly ₹40 lakh for goods and ₹20 lakh for services in a normal-category state such as Telangana. It is required immediately, regardless of turnover, if you make inter-state supplies or sell through an e-commerce operator. Thresholds and exemptions do change, so confirm the current position on the GST portal before deciding to wait.
Udyam — MSME registration
Free, instant, self-declared against a PAN and Aadhaar, and valid for the life of the business. It classifies you as micro, small or medium and unlocks priority-sector lending, collateral-free credit under CGTMSE, and — importantly here — eligibility for most Telangana state incentive schemes.
Step 3 — Telangana registrations
These are the genuinely state-level obligations, and they apply whether or not you incorporated a company.
- Shops & Establishments registration — required of essentially every commercial establishment in the state, from an office to a shop to a restaurant, under the Telangana Shops and Establishments Act, 1988. It must be done within 30 days of commencing operations, through the Labour Department. Banks commonly ask for it before opening a current account.
- Trade licence — issued by the local body, which for most of the city means the Greater Hyderabad Municipal Corporation, and elsewhere the relevant municipality or gram panchayat.
- Professional tax — employers register with the Commercial Taxes Department. For a company incorporated through SPICe+, profession tax enrolment is already bundled into that filing.
Step 4 — Industrial units: TG-iPASS
If you are setting up a factory or any unit needing land use, power, water, pollution-control or factory-licensing clearance, Telangana routes all of it through a single window created by the TS-iPASS Act, 2014. Around 23 departments issue some 40 types of approval through one application, and each carries a fixed timeline running from one day to a maximum of thirty, depending on complexity.
The system splits into two gates: CFE (Common Formats for Establishment) for pre-establishment clearance, then CFO (Common Formats for Operation) before you begin operating. Pre-scrutiny is available at state and district level so applications are not rejected on avoidable errors, departments may raise queries only once and within three days, and applicants have a stated right to be told the reasons for any delay.

Startup recognition & incentives
DPIIT recognition — central
Recognition through the Startup India portal is free, and open to entities under ten years old with turnover below ₹100 crore that can show the business is innovative or a meaningful improvement on what exists. Recognition itself then unlocks two things worth real money: a three-year income tax holiday under Section 80-IAC (a separate application, granted selectively), and exemption from angel tax under Section 56(2)(viib) on funds raised from investors.
Startup Telangana — state
The state runs its own recognition and support track, with published policies, an incubator network and incentive schemes. The Telangana MSME Policy 2024 commits ₹600 crore over five years and proposes one industrial park per district, along with several MSME parks in the corridor between the Outer Ring Road and the Regional Ring Road.

- T-Hub — the state's flagship innovation hub at Madhapur, Hyderabad, running incubation and acceleration programmes and corporate and investor connects.
- WE Hub — India's first state-led incubator for women entrepreneurs, offering technical, financial and policy support from idea stage through scale.
- The wider network — Startup Telangana maintains a directory of recognised state incubators beyond these two, including sector- and district-level centres.
